Overview

Brencis is a member of the Corporate and Commercial Transactions practice group. He focuses his practice on representing businesses in corporate governance, mergers & acquisitions, securities and other general corporate matters.  Brencis was an associate at national law firms prior to joining the Firm.

While in law school, Brencis served as senior editor of the Rutgers Business Law Review and was the lead research assistance for Professor Yuliya Guseva. Additionally, he interned at the United States Securities & Exchange Commission in Washington, D.C., Novartis Pharmaceuticals, and the United Stated Bankruptcy Court for the District of New Jersey.  Brencis is fluent in Spanish.

Brencis' representative experience includes: 

  • Representing a public pharmaceutical company in their merger valued at $50 million, including associated securities filings.
  • Representing a mine and drilling company in their proposed de-SPAC and subsequent initial public offering.
  • Representing an energy company in amending a convertible note to investors, pledge of securities agreement, and other corporate governance matters.
  • Representing an investment company in connection with litigation funding requirements in Delaware.
  • Representing numerous public pharmaceutical companies in their corporate governance, securities filing obligations, and equity and/or derivative offerings.
  • Representing a public chocolate company in their corporate governance and securities filing obligations.
  • Representing a public ATM management company in their securities filing obligations.
  • Representing a bitcoin mining company in connection with their de-SPAC and cross listing on the CBOE.
  • Representing an electronic components public company in their corporate governance, securities filing obligations, and reincorporation from Delaware to Nevada through a merger with their wholly owned subsidiary.
  • Representing a construction rebar public company in their corporate governance, debt and equity securities matters, including multiple PIPE transactions with a potential aggregate of $10 million, alternative financings, and securities filing obligations.
  • Representing a public financial technology company in their corporate governance, debt and equity securities matters. 
  • Representing a public global gaming and technology company in their corporate governance, securities filing obligations, and equity offerings.
  • Representing a public music streaming company in their reincorporation from the United Kingdom to the United States.
  • Representing a private equity firm in both their and their portfolio companies’ corporate governance matters.
  • Representing a technology company in their initial formation and corporate governance matters.
  • Representing numerous Special Purpose Acquisition Companies (SPACs) in their formation, initial public offerings, over-allotments, subsequent corporate governance, and securities filings obligations.
  • Representing an underwriter in connection with a $15 million PIPE transaction for a pharmaceutical company.
  • Representing a musical performance limited liability company in connection with a private placement.
  • Representing an underwriter in connection with an aggregate $13 million initial public offering for a pharmaceutical company.
  • Representing an underwriter in connection with a $20 million initial public offering for an advertising blockchain company.
